SmartCompaire Terms of Service, draft for review

This is a working draft of the SmartCompaire Terms of Service. It is not yet in force, so contact SLRIS for the terms that apply today; every bracketed item below is still open.

Status of these draft Terms of Service

  • Not yet in force. This draft does not govern your use of SmartCompaire. SLRIS Solutions, LLC publishes company-wide terms and conditions on slris.com. [Placeholder: confirm that the slris.com terms govern SmartCompaire until this draft is approved.]Read the SLRIS terms and conditions
  • Placeholders. Text in [square brackets] marks a legal or commercial term that SLRIS has not yet decided. Nothing in a placeholder is a commitment.
  • Last updated. This draft last changed on 7 October 2026. [Placeholder: effective date, set on approval.]

1. Accepting these Terms of Service

These Terms of Service are intended to form an agreement between SLRIS Solutions, LLC (“SLRIS”) and the organization that uses SmartCompaire (the “Customer”), together with each person the Customer allows to sign in (a “User”).

[Placeholder: how acceptance happens and the acceptance wording. Sign-up and invitation acceptance show no terms checkbox or link today.]

[Placeholder: precedence of any signed order form or master agreement, and capacity requirements.]

2. The SmartCompaire service

SmartCompaire is a web application for payroll and time comparison during parallel testing. Customers load source and target pay data and mappings as uploaded spreadsheets or CSV files, typed rows or pasted rows.

The service matches the data through the Customer’s employee and paycode mappings and grades each amount difference against the absolute thresholds and status rules the Customer sets. It records the review work: statuses, comments, defects and known or acceptable differences (KD/AD).

SmartCompaire does not connect live to any payroll or time system, and it does not change or write corrections back to any payroll system. It finds, grades and records differences. Decisions about pay, tax and go-live remain the Customer’s.

[Placeholder: service levels, support and maintenance notice, if any.]

3. Accounts and organizations

  • Organizations. Each Customer works inside its own organization in SmartCompaire. A person can belong to more than one organization and switch between them.
  • Roles and permissions. Organizations assign each User a role (viewer, member, admin or owner), and owners can grant or remove individual permissions. Removing the “Let the assistant take actions” permission has no effect today (see section 6). The Customer is responsible for who it invites and what access it gives them.
  • Sign-in credentials. Users sign in with an email address and password, or with Google. Users must keep their credentials confidential and tell the Customer’s administrators promptly about any unauthorized use. [Placeholder: how Users should report suspected account compromise to SLRIS.]
  • Accurate details. Users must give accurate account information. [Placeholder: SLRIS’s right to suspend accounts, and the notice it will give.]
  • Operator access. SLRIS platform administrators hold every permission, can view data across all organizations, including user lists, and can switch into any organization. Switching into an organization and changes made through the admin portal are audited; viewing through the admin portal is not. The audit log is visible to SLRIS only. [Placeholder: the circumstances in which SLRIS staff will access Customer data.]

4. Customer data and your responsibilities

“Customer Data” means the files, pay data, mappings, comments, defects, KD/AD records, AI chat messages and other content that the Customer or its Users put into SmartCompaire. [Placeholder: ownership of Customer Data, and the license the Customer grants SLRIS to host, process and back up it.]

The Customer is responsible for having the right to upload its Customer Data, including any employee information, and for the accuracy of what it uploads. Uploaded files are kept as uploaded, including any columns the service does not import, so Customers should leave out data the comparison does not need.

How SmartCompaire handles personal data is described in the SmartCompaire Privacy Notice at /privacy, which is also a draft. [Placeholder: whether a data processing agreement applies, and where to find it.]

5. Acceptable use

You agree not to use SmartCompaire to do, or try to do, any of the following. [Placeholder: SLRIS to confirm or extend this list.]

  • Access other organizations’ data. Attempt to read or change data that belongs to an organization you are not a member of.
  • Get around security controls. Bypass sign-in, roles, permissions or other access controls, or probe, scan or test the service’s security without SLRIS’s written permission.
  • Upload harmful content. Upload malware or files designed to harm the service or the people who open its reports.
  • Upload data unlawfully. Upload data you have no right to process, or use the service in breach of applicable law.
  • Overload the service. Place unreasonable load on the service, including on its AI features, or interfere with other Customers’ use.
  • Copy or resell the service. [Placeholder: restrictions on reverse engineering, resale, benchmarking and competitive use.]

6. AI features, including the Hirra assistant

SmartCompaire includes Hirra, an AI assistant, and AI Insights reports on comparison runs. The Hirra assistant is labeled beta in the product. Both features can make mistakes: treat Hirra and AI Insights output as a starting point, and check any figure that matters against the comparison results and your own source data.

The comparison itself does not depend on AI. Matching and grading follow fixed rules and the thresholds and status rules your organization sets. Hirra works within the signed-in User’s own permissions, and it cannot edit measured pay amounts in comparison results.

Within those permissions, Hirra can create projects, raise and update defects and KD/AD records, update review fields on result rows, generate reports and cancel jobs without a further confirmation step.

To answer questions, the service sends the User’s prompts and the data Hirra reads, which can include pay rows with employee numbers and amounts, to third-party AI model providers through OpenRouter.

If a User turns on the optional talking avatar, Hirra’s reply text is sent from the browser to HeyGen and streamed through LiveKit. If a User uses voice input, speech is processed by the browser’s speech service, which the browser vendor controls. [Placeholder: the Customer’s consent to these transfers, any opt-out, and SLRIS’s terms with these providers.]

[Placeholder: whether SLRIS disclaims responsibility for AI output, and any limits on AI use per organization.]

7. Beta features

Features marked beta, including Hirra, are still in development. They may change, be withdrawn or behave unexpectedly, and some functions shown may not yet be complete.

[Placeholder: whether SmartCompaire as a whole is a beta or early-access service (the home page currently offers a “beta version for early adopters”), and any special terms for beta use.]

8. Confidentiality

[Placeholder: each party’s confidentiality obligations, the definition and exclusions, permitted disclosures and duration.] Any commitment must allow for the AI providers described in section 6 and the operator access described in section 3.

9. Fees and payment

[Placeholder: fees, billing period, invoicing, payment terms, taxes, late payment and price changes. SLRIS has not published pricing for SmartCompaire.]

10. Warranties, disclaimers and limitation of liability

[Placeholder: any warranties SLRIS gives, the warranty disclaimer, the cap on each party’s liability, excluded types of loss, and indemnities. To be drafted by SLRIS’s counsel.]

Whatever is decided, the Customer remains responsible for its own payroll results. SmartCompaire reports differences between two sets of data; it does not decide whether a payroll is correct.

11. Termination, data export and deletion

This section describes what the product does today and marks what SLRIS still has to commit to.

  • Ending the agreement. [Placeholder: term, renewal, how either party may terminate, notice periods, and suspension for breach or non-payment.]
  • Exporting your data. Users can export result rows shown on screen to Excel, and members and above can generate PDF or Excel reports. Server-generated reports are summaries (the Comparison report includes up to the 500 largest over-threshold rows) and expire after 14 days. There is no self-service export of an organization’s full data set today. [Placeholder: how a Customer gets its data back after termination.]
  • Deleting projects. Admins can archive a project and then permanently delete it by typing its exact name. That removes the project’s mappings, pay data, runs, results, defects, KD/AD records, reports and AI insight reports from the database. AI chat conversations about the project, the audit log and the AI action log are kept, and original uploaded files, import error reports, exports and generated report files stay in storage.
  • Deleting accounts and organizations. There is no self-service deletion of a user account or an organization today. [Placeholder: how SLRIS will delete Customer Data, including stored files, on request or after termination, and within what time.]
  • Audit records. The audit log and the AI action log are append-only and are kept after the projects they describe are deleted or members are removed. [Placeholder: retention period for audit records.]

12. Changes to the service and to these terms

[Placeholder: SLRIS’s right to add, change or withdraw features, the notice it gives before material changes to the service or these terms, and how changes are accepted.]

13. Governing law and disputes

[Placeholder: governing law, venue, dispute resolution, and general terms such as assignment, notices and entire agreement.]

14. Contact

  • SLRIS Solutions, LLC. Questions about these draft terms or the terms that apply today can go to SLRIS through its contact page. [Placeholder: legal notice address and email.]Contact SLRIS
